2. Description of Service

Spot Digital Signage is a cloud-based digital signage platform that allows you to create, manage, and display content on digital screens. The Service includes the web application, player applications, and related features.

3. Accounts

3.1 Account Creation

To use certain features of the Service, you must register for an account. You must provide accurate and complete information and keep your account information updated.

3.2 Account Security

You are responsible for safeguarding your account password and for any activities or actions under your account. Notify us immediately of any unauthorized access.

3.3 Team Accounts

Account owners can invite team members and manage permissions. Account owners are responsible for their team members' compliance with these Terms.

4. Subscriptions and Payments

4.1 Free Tier

The Service offers a free tier with limited features. Free tier accounts are subject to usage limits and may display attribution.

4.2 Paid Subscriptions

Paid subscriptions are billed in advance on a monthly or annual basis. Payment is processed through our third-party payment processor, Stripe.

4.3 Refunds

Subscription fees are non-refundable except where required by law. You may cancel your subscription at any time, and it will remain active until the end of the current billing period.

5. Content

5.1 Your Content

You retain ownership of content you upload to the Service ("Your Content"). By uploading content, you grant us a license to store, display, and transmit Your Content as necessary to provide the Service.

5.2 Content Restrictions

You agree not to upload content that:

  • Infringes on intellectual property rights
  • Contains malware or harmful code
  • Is illegal, harmful, or offensive
  • Violates any applicable laws or regulations
  • Contains personally identifiable information of others without consent

5.3 Content Removal

We reserve the right to remove any content that violates these Terms or that we deem inappropriate, without prior notice.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Reverse engineer or decompile any part of the Service
  • Use automated systems to access the Service without permission
  • Resell or redistribute the Service without authorization

7. Player Devices

You are responsible for the hardware and internet connectivity required to run player applications. We provide player applications "as is" and cannot guarantee compatibility with all devices.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance that temporarily affects availability with reasonable notice when possible.

9. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Spot Digital Signage and protected by copyright, trademark, and other intellectual property laws.

10. Limitation of Liability

To the maximum extent permitted by law, Spot Digital Signage shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Indemnification

You agree to indemnify and hold harmless Spot Digital Signage from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

We may terminate or suspend your account immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the Service will immediately cease.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by email or by posting a notice on the Service.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Spot Digital Signage operates, without regard to its conflict of law provisions.
